Terms of Service

1. Acceptance of Terms

By accessing or using Simpler's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Eligibility

You must be at least 18 years old and have the authority to bind yourself or your business to these terms. By using Simpler, you represent that you meet these requirements.

3. Description of Service

Simpler provides AI-powered business operations tools including:

We may add or remove features over time. Third-party integrations (such as WhatsApp Business, Google, or Microsoft) may be offered in the future, subject to their respective verification and authorisation requirements.

4. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Teams: A tenant (organisation account) may have multiple users. The master seat (account owner) is responsible for all credit consumption across the tenant; there are no per-seat fees. Users you invite act within your authorisation and their actions bind the tenant.

5. Credits and Billing

Simpler operates on a prepaid credit system:

Auto Top-Up: If we make automatic top-up available and you choose to enable it, you authorise Simpler to automatically charge your saved payment method for the top-up amount and threshold you configure. You can disable auto top-up at any time in your account settings.

Refunds on failure: If a paid AI operation fails after a credit deduction (e.g., a voice synthesis request that cannot deliver audio), we will refund the affected credits to your balance. Transient platform errors during post-processing billing are logged for reconciliation — if you believe you were charged for work not delivered, contact support@simpler.asia.

6. Acceptable Use

You may not use Simpler to:

WhatsApp Integration: If you use our WhatsApp Business integration, you must comply with Meta's WhatsApp Business Policy and Commerce Policy. You are solely responsible for obtaining proper consent from your contacts before messaging them. Violation of Meta's policies may result in immediate suspension of your account. You agree to indemnify Simpler for any penalties, fines, or damages arising from your misuse of WhatsApp features.

7. AI-Generated Content

Accuracy: AI may produce inaccurate, incomplete, or inappropriate outputs. You are solely responsible for reviewing and verifying all AI-generated content before use.

Ownership: You retain ownership of content you input. For AI-generated outputs, you receive a license to use the outputs for your business purposes. We do not claim ownership of your content or AI outputs generated for you.

No Guarantee: We do not guarantee that AI outputs will meet your specific requirements or be suitable for any particular purpose.

8. Data Processing

When you use Simpler to process data about your own customers (for example, through document processing, CRM records, or invoicing), you are the Data Controller for that information and Simpler acts as your Data Intermediary (processor).

Data Processing Addendum: Our Data Processing Addendum ("DPA") is incorporated into these Terms by reference. By accepting these Terms, you also accept the DPA. The DPA sets out the terms under which we process personal data on your behalf.

As the Data Controller, you are responsible for:

Sub-processors: We engage third-party service providers to help deliver our Services. The current list is available at simpler.asia/sub-processors. By accepting these Terms, you authorise our use of these Sub-processors.

9. SBIN Participation

By creating an account, you participate by default in the Simpler Business Intelligence Network ("SBIN") — the matching layer that uses your business activity on the platform (company-level entities such as vendors, customers, and pricing benchmarks, with all personal information stripped) to produce better partner suggestions, supplier shortlists, and calibrated pricing across the network.

This participation is disclosed at signup and in our Privacy Policy §5, which together constitute the notification required for deemed consent under the Singapore PDPA (§15A). You may:

No personal data of your customers, suppliers, or contacts is shared through SBIN — only company-level business entities. Raw documents, messages, and spreadsheets are never shared with other users.

10. Third-Party Services

Simpler relies on third-party sub-processors (including Cloudflare, Anthropic, FAL.ai, Airwallex, Resend, and others) to deliver the service. The current list is available on our Sub-processors page. If we later enable user-optional integrations (such as WhatsApp Business, Gmail, or Outlook), your use of those integrations will be subject to their respective terms. We are not responsible for third-party service availability or performance.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance will be announced in advance where possible.

12. Intellectual Property

Simpler's platform, branding, and proprietary technology are owned by us and protected by intellectual property laws. These terms do not grant you any rights to our intellectual property except as needed to use the service.

13. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the services will be uninterrupted, error-free, or secure. We make no warranties regarding the accuracy, reliability, or suitability of AI-generated outputs for any purpose. You use the services at your own risk.

14. Limitation of Liability

To the maximum extent permitted by Singapore law:

15. Indemnification

You agree to indemnify and hold Simpler harmless from any claims, damages, or expenses arising from your use of the service, your content, or your violation of these terms.

16. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account for violation of these terms. Upon termination, your right to use the service ceases immediately. Unused credits are non-refundable upon termination.

17. Governing Law

These terms are governed by the laws of Singapore. Any disputes shall be resolved in the courts of Singapore.

18. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms and updating the "Last updated" date. Continued use after changes constitutes acceptance.

19. General Provisions

Force Majeure: Simpler is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, or government actions.

Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and Simpler regarding the services and supersede any prior agreements.

No Waiver: Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these terms without our consent. Simpler may assign or transfer these terms, including to any successor or acquirer of our business, without restriction and without notice to you.

Survival: Sections 7 (AI-Generated Content), 8 (Your Customer Data), 9 (SBIN Participation), 12 (Intellectual Property), 13 (Warranty Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law), and 19 (General Provisions) shall survive termination of these terms.
